Referred to below as “AERONIA” or “we.”
1. Scope
1.1 These Terms and Conditions govern all contracts for commissioned artwork concluded through ignatiadi.com between AERONIA UG (haftungsbeschränkt) and the client.
1.2 The website ignatiadi.com offers commissioned works: individually created paintings, hand-painted garments (wearable art), and other custom projects, executed by the artist Nataliia Ignatiadi.
1.3 The commercial representation of Nataliia Ignatiadi is carried out exclusively by AERONIA UG (haftungsbeschränkt). All contracts are concluded with AERONIA UG, not with the artist personally.
1.4 The version of these Terms in effect at the time of contract formation shall apply.
1.5 These English-language Terms constitute a standalone legal document, not a translation of the German AGB. Where mandatory consumer protection rules of the client’s country of habitual residence provide greater protection, those rules apply in addition (Article 6(2) Rome I Regulation).
1.6 Commissioned works are governed by German contract law for works and services (§§631 ff. BGB).
2. Formation of Contract and Commission Process
2.1 The presentation of reference works on the website does not constitute a binding offer. It is a non-binding showcase of the artist’s body of work.
2.2 The commission process is as follows:
(a) The client completes the Commission Specification Form, specifying: technique, format, subject matter, special requirements, colour preferences, and reference images.
(b) Nataliia Ignatiadi creates a concept sketch based on the Specification Form.
(c) The client approves the concept sketch in writing (email is sufficient).
(d) The approved concept sketch becomes the binding specification for the commission.
(e) The contract is formed when AERONIA accepts the commission in writing.
2.3 By signing the Specification Form, the client confirms familiarity with and acceptance of the artistic style of Nataliia Ignatiadi.
3. Prices and Payment
3.1 The commission price is set out in the Specification Form and is denominated in euros (€). Prices include statutory VAT.
3.2 Payment is made in two instalments:
(a) 50% of the commission price upon contract formation (deposit).
(b) 50% of the commission price upon acceptance of the completed work.
3.3 The following payment methods are available: credit/debit card (via Stripe), PayPal, and bank transfer to AERONIA’s business account.
3.4 All prices are in euros. Currency exchange differences and conversion fees are borne by the client.
4. Retention of Title
Ownership of the completed work does not pass to the client until the commission price has been paid in full.
5. Revisions and Amendments
5.1 Two rounds of revision are included in the commission price during the concept phase.
5.2 A mid-execution check-in is provided at approximately 50% completion.
5.3 After completion, one round of minor adjustments is included in the commission price.
5.4 Additional revision rounds are charged at 25% of the commission price per round and require a separate written agreement.
5.5 Correction of actual defects attributable to the artist is always free of charge and unlimited.
6. Acceptance
6.1 The client is obliged to accept the work if it conforms to the approved specification (technique, format, subject, special requirements).
6.2 Personal taste does not constitute a defect. The standard for acceptance is conformity with the approved specification only.
6.3 Acceptance is deemed to have occurred if the client does not raise a specific, specification-related objection within 14 days of being presented with the completed work.
7. Cancellation
7.1 If the client cancels before completion, a cancellation fee of 50% of the commission price is payable.
7.2 If the client cancels after completion, the full commission price (100%) is payable.
7.3 Upon cancellation, all rights in the work revert to the artist.
8. Shipping and Delivery
8.1 Delivery terms are agreed individually in the Specification Form.
8.2 Commissioned works are professionally packaged using art-grade materials.
8.3 The client may choose whether the shipment is to be insured. Insurance costs are shown separately.
8.4 For consumer clients, the risk of loss or damage passes upon delivery. For business clients, the risk passes upon handover to the carrier.
8.5 For deliveries outside the EU, customs duties, import taxes, and additional charges are the responsibility of the client.
9. Warranty and Defects
9.1 The statutory warranty provisions of German law for works and services apply (§634 BGB): supplementary performance, rescission, price reduction, damages.
9.2 A defect exists only if the work deviates from the approved specification. Personal taste does not constitute a defect.
9.3 The warranty period is two years from acceptance for consumers and one year for business clients.
9.4 For clients in the United Kingdom, the Consumer Rights Act 2015 applies to the extent it provides greater protection.
9.5 For clients in the United States, these Terms do not limit rights available under applicable state consumer protection statutes.
10. Copyright
10.1 The copyright in all commissioned works remains with the artist Nataliia Ignatiadi.
10.2 Upon full payment, the client acquires physical ownership only. No reproduction, distribution, exhibition, or other usage rights are transferred.
10.3 The artist retains the right to present the work in her portfolio, at exhibitions, and on social media.
10.4 Any commercial reproduction by the client requires a separate written agreement.
11. Limitation of Liability
11.1 AERONIA is liable without limitation for damages arising from injury to life, body, or health, and for damages caused by intentional or grossly negligent conduct.
11.2 For damages caused by slight negligence, AERONIA is liable only for breach of a material contractual obligation, limited to foreseeable, contract-typical damage.
11.3 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable mandatory law.
12. Right of Withdrawal
Information on the right of withdrawal and applicable exclusions is provided in the “Right of Withdrawal” document on this website.
13. Governing Law and Jurisdiction
13.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding the CISG.
13.2 For business clients, the exclusive place of jurisdiction is Mülheim an der Ruhr, Germany.
13.3 For EU consumers, mandatory consumer protection provisions of their Member State remain unaffected. Such consumers may bring proceedings in the courts of their domicile (Article 18(1) Brussels I bis Regulation).
13.4 For UK consumers, the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013 apply to the extent they provide mandatory protection.
13.5 If any provision of these Terms is invalid, the remaining provisions remain in full force and effect.
